Best CPU and Mobo for under $300?

I used to be really up to date on everything but over the past year I have been out of the scene. Well I need to update my comp and need a new mobo and cpu.

Keep in mind I'm not a gamer. I'm a huge multi-tasker and use alot of conversion programs (DVD rippers, music encoding) as well as video editing and photo editing programs.

I have a Gig of PC3200 ram and 2 IDE hard drives.

I would say for what you are planning on using this system for you get an intel chip they seem to be better for the multi tasking.
