Have had some problems with the truevector deamon as well. Running W2K on several boxes, and I don't know what's the glitch but once it is installed correctly it is solid as a rock, but before you get it to that point... I always install it first thing after the OS is installed and servicepacks are applied. I never liked ZA 3 (it ****ed up my whole W2K machine, so I sticked with 2.6.362 Pro.
I guess I'm not realy helpful with this, but okay, is your XP 'firewall' disabled? Is your network adapter configured 'doubtfree'? Have you tried removing and adding it? Is there running any other software which uses the network adapter in any way, or any form (like sniffers, bandwith meters, etc.)?
