I guess that you mean that all memory tests were successful, which means that no test failed so memory is good. The program runs continously, so if you don't stop it, it will keep doing the same tests over and over.

Memtest often gives false positives. I wouldn't trust this program alone.

Yes i do have XP server Pck 1 and all critical windows updates are up to date and i definitly have the latest video drivers. As far as i know i dont overclock my machine.

You should take a look at the event viewer, there should be some trace of the errors there. Also post your specs: motherboard, processor, memory... If you don't know how to get this information you can use
CPU-Z.
